How to Register a Company in Pakistan Through SECP

Workspace by Spiderhunts 4 min read

For most small businesses the process is online and manageable. The delays usually come from the name, the paperwork and the office address — not from the filing itself.

Short answer

Companies in Pakistan are registered with the Securities and Exchange Commission of Pakistan (SECP), online through its eServices portal at eservices.secp.gov.pk. In outline: choose a company type, check and reserve a name, file incorporation documents with details of directors, shareholders and a registered office address in Pakistan, and pay the fee. After incorporation, make sure the company is registered for tax with FBR and open a company bank account. Fees and requirements change, so confirm current details with SECP before filing.

This is a plain overview for founders, freelancers growing into a team, and small agencies in Lahore. It is not legal advice, and SECP updates its forms, fees and procedures from time to time — use it to understand the shape of the process, then check the specifics with SECP or a corporate adviser before you file.

First: do you actually need a company?

Many freelancers work perfectly well as individuals registered with FBR. A company starts to make sense when:

  • clients or platforms ask to contract with a registered business rather than a person,
  • you are hiring and want the business separate from your personal finances,
  • you are bringing in partners or investors and need clear ownership, or
  • you want the protection of limited liability.

If none of those apply yet, registering can wait.

Choosing a company type

  • Single Member Company (SMC-Private) Limited — one person owns the company. The common choice for a solo founder or a freelancer formalising their business.
  • Private Limited Company — two or more shareholders. The usual structure for co-founders and small teams.

Partnerships and sole proprietorships are not incorporated with SECP; they are handled through different registrations, which is part of why the choice matters before you start.

The steps, in order

  1. Create an account on SECP eServices (eservices.secp.gov.pk) using your CNIC details.
  2. Check name availability and reserve a name. Names that are too similar to an existing company, or that suggest a licensed activity you do not hold, are commonly refused — have two or three alternatives ready.
  3. Prepare the incorporation documents: the memorandum and articles of association, and the details and CNICs of directors and subscribers. Details must match the CNIC exactly.
  4. Provide a registered office address in Pakistan where official correspondence can be received.
  5. File the incorporation application and pay the fee.
  6. Receive the certificate of incorporation once SECP approves the application.
  7. Complete tax registration with FBR. Confirm the company has a National Tax Number; if one was not issued as part of incorporation, register the company on FBR's IRIS portal (iris.fbr.gov.pk).
  8. Open a company bank account using the incorporation documents.

After you are registered

A company comes with ongoing obligations: keeping proper records, filing annual returns with SECP and tax returns with FBR, and recording changes such as new directors or a new address. Missing these creates penalties that are far more annoying than the original registration, so put the dates in a calendar the day you incorporate.

The registered office question

The registered office is the address SECP and other authorities use to reach the company. It needs to be a real address where post is received. The options are:

  • Your home — cheapest, but your home address becomes the company's public address.
  • A leased commercial office — the traditional route, with a lease and fixed costs.
  • A coworking or virtual office address — a professional address without a full lease.

If you consider a coworking or virtual office address, ask the provider directly whether their address and paperwork are accepted for your filing before you pay. We explain how that works in Virtual Office in Lahore: What It Is and How It Works.

Where registrations usually stall

  • the proposed name is refused and no alternative is ready,
  • a director's details do not match their CNIC,
  • the registered office address cannot be supported with documents, or
  • the objects of the company describe a regulated activity that needs a separate licence.
